Terms of Service

1. Agreement
By creating an account or using Tracepoint you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it. If you do not agree, do not use the service.
2. The service
Tracepoint provides field-documentation tools: mapping numbered points on building images, capturing photos and notes against those points, sharing results, and generating reports — including drafts produced with the assistance of an AI model.
Reports and AI drafts are drafts. They are a starting point for a qualified professional, not a professional opinion, certification or inspection. You are responsible for reviewing and verifying anything you issue under your own name. Machine-generated content is labeled as such in the product, and that labeling must not be removed.
3. Accounts and organizations
You are responsible for your credentials and for activity in your organization, including anyone you invite and any field-worker links you issue. Field-worker links grant capture access to whoever holds them — issue and revoke them accordingly.
4. Your content and the licence you grant us
You keep ownership of everything you upload. We claim no ownership of your photographs, notes or reports.
You grant Tracepoint a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, modify (for example, to resize an image or render it into a PDF) and display your content in order to operate the service, and to use it to develop and improve Tracepoint — including training machine-learning models and training our personnel. This licence continues for content you have not deleted, and survives to the extent your content is already embedded in models or materials we have produced.
Opting out. Organizations on a paid plan can exclude their content from model and personnel training in Settings → Organization → Content and model training. Once set, we stop using that organization's content for those purposes going forward; it does not reach back into work already completed. The free plan does not include this option.
Your warranty. You represent that you hold the rights needed to grant this licence — including any permission required from a building owner, client, or person appearing in a photograph — and that uploading the content does not breach an agreement you have with someone else. Do not upload content you are not permitted to share.
5. Acceptable use
Do not misuse the service: no unlawful content, no attempts to breach or disrupt it, no reverse engineering, no reselling access, and no uploading of material you have no right to upload.
6. Plans, billing and seats
Paid plans are billed through Stripe on a recurring basis until cancelled. Seats are counted as organization members plus pending invitations; field-worker links do not consume a seat. Exceeding your plan's included seats adds a per-seat charge, shown before you confirm.
Upgrades are charged immediately and prorated. Downgrades take effect at the end of the current period. If you exceed a plan limit, projects beyond the limit become read-only — they are never deleted. Fees are non-refundable except where required by law.
7. Availability
Tracepoint is offered on an invitation basis and provided as-is, without an uptime commitment. We may change or discontinue features; if we discontinue the service entirely we will give organization administrators reasonable notice and a way to export their content.
8. Termination
You may stop using the service and delete your organization at any time. We may suspend or terminate an account that breaches these Terms or creates risk for the service or other customers.
9. Disclaimers and limitation of liability
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Tracepoint does not warrant that reports, AI drafts or any other output are accurate, complete, or fit for regulatory submission.
To the maximum extent permitted by law, Tracepoint is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.
10. Indemnity
You will defend and indemnify Tracepoint against claims arising from content you upload or from your breach of these Terms — including a claim that content you uploaded infringed someone's rights or was shared without permission.
11. Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-laws rules. Disputes will be brought in the state or federal courts located there.
12. Changes
We may update these Terms and will revise the date above. Material changes will be sent to organization administrators by email; continuing to use the service after they take effect means you accept them.
